End User License Agreement

END USER LICENSE AGREEMENT (EULA)
For Schematic Sound Software Products

This End User License Agreement (“Agreement”) is a legal agreement between you (“User”) and Schematic Sound (“Licensor”) governing the use of the software product, including any associated media, files, documentation, updates, and enhancements (collectively, the “Software”).

By downloading, installing, copying, or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not download, install, or use the Software.

  1. Grant of License
    Schematic Sound hereby grants you a non-exclusive, non-transferable, revocable license to install and use the Software for your personal or commercial audio production purposes, subject to the terms of this Agreement.
  2. Restrictions
    You may not:
  • Reverse engineer, decompile, or disassemble the Software.
  • Modify, translate, rent, lease, or create derivative works based on the Software.
  • Distribute, sublicense, sell, or resell copies of the Software.
  • Use the Software in any unlawful or unauthorized manner.
  1. Ownership
    The Software is licensed, not sold. All right, title, and interest in and to the Software, including any updates, enhancements, and intellectual property rights, remain with Schematic Sound.
  2. No Warranty
    The Software is provided “AS IS” without warranty of any kind, either express or implied. This includes, but is not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  3. Limitation of Liability
    Under no circumstances shall Schematic Sound, its owners, affiliates, or licensors be liable for any damages whatsoever (including, without limitation, damages for loss of profits, business interruption, loss of data, or damage to hardware) arising out of or in connection with the use or inability to use the Software, even if Schematic Sound has been advised of the possibility of such damages.

By downloading and/or installing the Software, you expressly agree to absolve Schematic Sound of any and all liability, including but not limited to damage to your computer, hardware, software, operating system, and/or data.

  1. Termination
    This Agreement is effective until terminated. It will terminate automatically without notice if you breach any of its terms. Upon termination, you must destroy all copies of the Software in your possession.
  2. Governing Law
    This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Schematic Sound operates, without regard to conflict of laws principles.
  3. Entire Agreement
    This Agreement constitutes the entire understanding between you and Schematic Sound with respect to the Software and supersedes all prior agreements, oral or written.

By clicking “Download”, installing, or using the Software, you acknowledge that you have read, understood, and agree to be bound by this End User License Agreement.
